Sulzer AG:n hallituksen nimeämistä koskeva ehdotus Tamturbon varsinaiselle yhtiökokoukselle / Proposal of Sulzer AG for Tamturbo AGM concerning nomination of Board of Directors
Osakassopimuksen mukaisesti Sulzer AG:llä on oikeus nimetä hallitukseen kaksi (2) jäsentä ja Nurmiranta Holdings Oy:llä, EAKR-Aloitusrahasto Oy:llä, KWH-koncernen Ab:llä, WS Cleantech Motor Fund Ky:llä ja Timo Pulkilla on yhdessä kolme (3) jäsentä.
Sulzer AG on ilmoittanut esittävänsä, että hallituksen jäseneksi valitaan nykyinen hallituksen jäsen Veli-Pekka Tiittanen, Head of Industry Business Unit Sulzer, sekä uutena hallituksen jäsenenä Sebastiano Zumbino, Head of Finance, Industry Business Unit Sulzer.
Molemmat ehdotetut henkilöt ovat suostuneet tehtävään.
Nurmiranta Holdings Oy, EAKR-Aloitusrahasto Oy, KWH-koncernen Ab, WS Cleantech Motor Fund Ky ja Timo Pulkki ilmoittavat kannattavansa Sulzer AG:n valittavia hallituksen jäseniä koskevaa ehdotusta.
Based on the Shareholders’ Agreement, Sulzer AG has right to nominate two (2) members to the Board of Directors and Nurmiranta Holdings Oy, EAKR-Aloitusrahasto Oy, KWH-koncernen Ab, WS Cleantech Motor Fund Ky and Timo Pulkki together have right to nominate three (3) members to the Board of Directors.
Sulzer AG has notified that it proposes that Veli-Pekka Tiittanen, Head of Industry Business Unit Sulzer, of the current members and Sebastiano Zumbino, Head of Finance, Industry Business Unit Sulzer as a new member be elected as members of the Board of Directors.
Both proposed persons have given their consent for the Board membership.
Nurmiranta Holdings Oy, EAKR-Aloitusrahasto Oy, KWH-koncernen Ab, WS Cleantech Motor Fund Ky and Timo Pulkki notify that they support Sulzer AG’s proposal regarding election of Board members.
